Terms of Service

Welcome to Insparisk. These Terms of Service ("Terms") govern your use of our website, services, and any related applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Scope of These Terms

These Terms cover three things:

• Inspection and compliance services performed in the field by Insparisk or by our Network partners
• Insparisk Command, our compliance management platform, and any related applications
• This website and the tools published on it

Where you have signed a separate services agreement or order form with us, or purchase through a GSA Schedule or OMNIA Partners cooperative contract, that agreement controls to the extent it conflicts with these Terms.

2. Services Overview

Insparisk provides professional inspection and compliance services including, but not limited to:

• Elevator, escalator, and conveyance inspections
• Boiler and pressure vessel inspections
• Backflow testing and certification
• Gas line testing and inspections
• Energy benchmarking and compliance reporting
• Fire and life safety compliance
• General building compliance services

Inspections are performed by licensed, certified professionals in accordance with applicable federal, state, and local regulations.

3. How Services Are Delivered

Some inspections are performed by Insparisk personnel and some are performed by independent inspection firms and technicians in The Insparisk Network. Network partners are independent contractors, not employees of Insparisk. We verify their credentials and match assignments to their licenses and service territory.

In either case, Insparisk remains your contracting party, issues your invoice, and is accountable to you for the service. Certain guarantees apply only to work performed directly by Insparisk, as described in Section 8.

4. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us promptly at security@insparisk.com if you believe your account has been accessed without authorization

You are responsible for the accuracy of the property, equipment, and contact information entered into your account. Compliance deadlines, filings, and alerts depend on that information being correct.

5. Service Scheduling and Access

When scheduling inspection services, you agree to:

• Provide accurate property and equipment information
• Ensure safe access to all equipment and areas requiring inspection
• Have an authorized representative present during inspections when required
• Provide at least 24 hours notice for cancellations or rescheduling

Failure to provide access or late cancellations may result in additional fees.

6. Pricing and Payment for Inspection Services

Quotes and Pricing: Quotes provided are estimates based on information provided. Final pricing may vary based on actual conditions encountered during inspection.

Payment Terms: Payment is due upon completion of services unless otherwise agreed in writing. We accept major credit cards, ACH transfers, and checks.

Card Payments: Card and bank details are captured directly by our payment processor and are never stored on Insparisk systems. See our Security and Trust page for detail.

Late Payment: Overdue balances may result in suspension of scheduled services and of access to filings and reports until the balance is settled.

Government Contracts: For services provided under GSA Schedule or OMNIA Partners contracts, pricing and payment terms are governed by the applicable contract terms.

7. Inspection Reports and Documentation

Upon completion of inspections, we will provide:

• Detailed inspection reports documenting findings
• Required regulatory filings to applicable authorities
• Recommendations for any corrective actions needed
• Access to reports through our Insparisk Command platform (where applicable)

Our reports describe conditions observed at the time of inspection only. You are responsible for addressing any deficiencies or violations identified, and for ongoing maintenance of the equipment.

8. Our Guarantees

Insparisk offers the guarantees below, subject to the full terms and conditions published on our Guarantees page, which control in the event of any conflict with this summary. All guarantee claims are evaluated on a case-by-case basis at Insparisk's sole discretion. We may modify, suspend, or discontinue any guarantee at any time, effective when posted to our website.

• Price Beat Guarantee: We will beat any competitor's price by 10%. Customer must provide a valid, written quote from a licensed and insured competing inspection company operating in the same service area, for the same or substantially similar services. Not applicable to package deals, bundled services, or promotional pricing. Minimum inspection service price must be above $0. Customer must agree to a minimum two-year service agreement. This guarantee applies to new customers only and cannot be combined with other offers. Subject to Insparisk verification and approval.
• Civil Penalty Protection: If you are issued a DOB non-filing or late submission civil penalty due to Insparisk's oversight, we will reimburse you up to $1,000 per violation. This protection applies only to inspections performed directly by Insparisk, and not to services performed by Network partners or other subcontractors. Coverage is contingent on payment in full at least 7 days before the inspection filing due date and on your provision of accurate information. Insparisk is not responsible for penalties arising from customer fault, including non-payment or incomplete payment, failure to provide a proper e-filing email address, failure to obtain proper signatures from the testing company representative or owner, failure to provide site access, or any other third-party factor outside Insparisk's control. Customer must notify Insparisk of any penalty within 30 days of receipt and provide documentation of the violation.
• Money-Back Guarantee: If you are unhappy with our service within 90 days of service completion, contact us at inspections@insparisk.com. We will work with you to resolve the issue or provide a credit toward any future Insparisk service. Customer must provide a written explanation and allow Insparisk an opportunity to address the concern. Refunds are issued as service credits, not cash, unless otherwise determined at Insparisk's sole discretion, and are limited to the amount paid for the specific service in question. This guarantee does not apply if the customer violated these Terms, failed to provide required access, or provided inaccurate information, and is void where the inspection was completed successfully and all required documentation was filed with the appropriate authorities.

These guarantees apply to inspection services. They do not apply to Insparisk Command subscription fees, which are governed by Section 10.

9. Insparisk Command Subscriptions

Insparisk Command is offered in tiers, currently Monitor, Operate Solo, Operate, and Scale, with optional add-ons including AI Self-Inspection, AI Lease Analysis, Build, and Delegate. The plans, features, usage limits, and prices published on our pricing page at the time you subscribe apply to your subscription.

Plans carry limits on buildings, users, documents, equipment records, and add-on usage. Where a plan states a periodic allowance, that allowance does not carry over between periods. We may enforce plan limits by restricting the affected feature until you upgrade.

Government buyers may purchase Command through GSA Schedule or OMNIA Partners contracts, in which case the contract pricing and terms apply.

10. Billing, Renewal, and Cancellation

Billing: Subscription fees are billed in advance for the plan term you select, monthly or annually. Fees are exclusive of applicable taxes.

Automatic renewal: Subscriptions renew automatically for successive terms of the same length until cancelled. Annual subscriptions renew annually and monthly subscriptions renew monthly.

Cancellation: You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current paid term. You keep access until then.

Refunds: Subscription fees already paid are not refundable, in whole or in part, except where required by law. Downgrading mid-term does not generate a refund or credit for the unused portion.

Price changes: We may change subscription pricing. Any change applies from your next renewal, and we will give you at least 30 days notice before it takes effect.

Non-payment: If a payment fails or a balance goes unpaid, we may suspend access to paid features until it is settled, and may terminate the subscription if it remains unpaid.

11. Your Data

Building records, documents, photographs, inspection history, and other material you or your team upload to Command remain yours ("Customer Data"). You grant Insparisk a non-exclusive licence to host, store, process, transmit, and display Customer Data solely to operate and support the Services, and to meet regulatory filing obligations on your behalf where you have asked us to file.

You are responsible for having the rights necessary to upload Customer Data and for ensuring it does not infringe anyone's rights or violate any law.

Customer Data is handled in accordance with our Privacy Policy. The security controls, subprocessors, and current compliance status for the Services are described on our Security and Trust page.

We may use aggregated and de-identified information derived from use of the Services to operate, secure, and improve them. Aggregated information never identifies you, your properties, or your tenants.

12. AI-Assisted Features

Parts of Insparisk Command use automated and AI-assisted analysis. This includes requirement detection, document classification and summarisation, AI Self-Inspection, and AI Lease Analysis.

• Output from these features is informational. It may be incomplete or incorrect, and it is not legal, engineering, or regulatory advice.
• AI Lease Analysis in particular identifies likely tenant and landlord responsibilities with clause citations and confidence levels. It is not a legal interpretation of your lease and should not be relied on as one.
• Automated output does not replace inspection by a licensed professional. Regulated determinations, certifications, and filings remain the responsibility of a qualified inspector or of the building owner, as applicable law requires.
• You should verify automated output before acting on it, particularly where a filing deadline or a penalty is involved.

Content processed by these features may be handled by third-party AI providers listed on our Security and Trust page.

13. Delegate and Managed Compliance

Under the Delegate add-on, an Insparisk compliance manager works inside your Command account to retrieve certificates, coordinate vendors, prepare filings, and clear alerts. Your team retains review and approval authority over the work.

Delegate is a service performed on your behalf. It does not transfer legal responsibility for compliance with any statute, code, or regulation, which remains with the building owner or the party the law designates. Delegate scope, portfolio size, and fees are set in a separate order following a scoping call.

14. API Access and Integrations

API access is available on eligible plans. If we issue you API credentials:

• Your API keys are credentials. Keep them confidential, do not embed them in client-side code, and you are responsible for all activity carried out with them
• You will observe published rate limits and will not circumvent them
• You will not use the API to build or train a competing product, to resell access, or to extract data in bulk beyond your own account
• We may change, deprecate, or withdraw endpoints, and will give reasonable notice of breaking changes where practical
• We may suspend a key immediately if it is being used in a way that threatens the security or stability of the Services

Third-party services you connect to Command are governed by that provider's own terms. We are not responsible for a third-party service's availability or for what it does with data you direct us to send it.

15. Acceptable Use

When using our website, applications, and platform, you agree not to:

• Violate any applicable laws or regulations
• Interfere with the security or operation of our systems
• Attempt to gain unauthorized access to our systems or to another customer's data
• Use automated systems to access our website or platform without permission
• Reverse engineer, decompile, or attempt to derive the source code of the Services
• Resell, sublicense, or provide access to the Services to anyone outside your organization, except as expressly permitted
• Upload unlawful content, or content you do not have the rights to upload
• Transmit viruses, malware, or other harmful code

16. Limitation of Liability

To the maximum extent permitted by law:

• For inspection services, our liability is limited to the amount paid for the specific service giving rise to the claim
• For Insparisk Command, our liability is limited to the subscription fees you paid in the twelve months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost business, or civil penalties except as expressly provided under the Civil Penalty Protection guarantee
• We are not responsible for equipment failures, accidents, or violations that occur after our inspection
• Our services do not guarantee compliance or prevent future violations

Our inspections represent conditions at the time of inspection only. Equipment conditions can change, and ongoing maintenance is the responsibility of the equipment owner. Compliance alerts, calendars, and deadline tracking in Command are decision support tools; meeting a regulatory deadline remains your legal obligation.

17. Indemnification

You agree to indemnify and hold harmless Insparisk, its officers, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your misuse of our Services
• Your failure to maintain equipment or address identified deficiencies
• Customer Data you upload, including any claim that it infringes a third party's rights
• Any third-party claims related to your property or equipment

18. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Insparisk or its licensors and is protected by intellectual property laws. Our Insparisk Command platform and related technology are proprietary to Insparisk. These Terms grant you a right to use the Services, not any ownership in them.

Customer Data remains yours, as described in Section 11. If you send us feedback or suggestions, we may use them without obligation to you.

19. Termination and Data Retrieval

We may suspend or terminate your access to the Services for violation of these Terms, for non-payment, or where required by law. You may cancel a subscription as described in Section 10. On termination you remain responsible for any outstanding amounts.

While your account is active you may export your Customer Data at any time. For 30 days after termination we will make your Customer Data available for export on request, after which it may be deleted in the ordinary course.

Inspection records that we are required to retain by law, and filings already submitted to a regulatory authority, are retained as those requirements demand regardless of account status.

20. Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, binding arbitration in New York, NY
• These Terms are governed by the laws of the State of New York

21. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, and, for active subscribers, by email to the address on the account. Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms.

22. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy, our Guarantees page, and any signed service agreement, order form, or government contract, constitute the entire agreement between you and Insparisk regarding our Services. Where a signed agreement or government contract conflicts with these Terms, that agreement controls.
